SBT CO., LTD. (SBT) operates the website www.sbtjapan.com (the site) in accordance with the following Terms of Use (Terms). By accessing or using the site, you agree to accept the Terms. You shall be bound by the Terms with respect to your access or use of the site and any further upgrade, modification, addition, or change to the site. If you do not accept all of the Terms, please do not use the site.

1. The Terms apply to SBT and to you. Both SBT and you shall strictly adhere to the Terms in a sincere manner.

2. SBT reserves the right to update the Terms at any time without notice to you.

3. Where one or more clauses or parts of clauses contained within these Terms are deemed ineffective or not executable, the remainder of the clauses or parts of clauses as well as the clauses or parts of clauses deemed ineffective or not executable will remain fully in force. SBT and you will legitimize the clause or part of the clause deemed ineffective or not executable and revise it as necessary in order to facilitate enactment. Both parties will work toward achieving the original objective, as well as the legal and economic impact, of the concerned clause or part of the clause.

1. The enactment, validity, execution, interpretation, etc. of the Terms are subject to and adjudicated by only the laws and courts of Japan.

2. The original English document pertaining to these Terms takes legal precedence. No changes in enactment, validity, execution, interpretation, etc. are effective with respect to the translation of the document into other languages.

3. Should any disputes between you and SBT occur with regard to the service and/or any contracts concluded through the service, the parties concerned agree to attempt to settle any such disputes in a sincere manner through discussion.

You are responsible for obtaining the equipment necessary to utilize this service, including communications equipment, software, relevant Internet services, etc.

Copyrights to all content on the site belong to SBT. Reproduction or use of content on the site is prohibited. Should any disputes arise due to violation of the rules stipulated in this clause, you are responsible, financially and otherwise, for the resolution of such disputes. SBT will not be held liable in any way, and you will not cause loss to SBT.

These Terms govern the use of the site. SBT’s Terms of Trade govern all transactions except where SBT signs a separate written contract with you.

Registering an SBT customer account is required to make transactions. Registration is free. To register, you must provide SBT with accurate, complete, and current information. SBT will not be liable for loss arising from incorrect information. After receiving login credentials, you may view prices and make transactions.

1. Should changes occur in your information such as name, address, telephone number, and other information provided to SBT at the time of application, you must report any such changes to SBT immediately.

2. SBT is not liable for any damages incurred by you or a third party due to failure to inform SBT of changes in your information.

3. If you neglect to inform SBT of changes in registered information, you understand that SBT will deem any notification sent to have been received by you at the time it is supposed to be received, even if said notification returns to SBT as undeliverable, as the notification will be sent as indicated in the information previously provided to SBT by you.

Transactions are governed by the Terms of Trade issued with the invoice. Units on the site are priced in EUR, GBP, JPY, or USD and, unless otherwise stated in writing, offered on CFR or FOB terms. SBT accepts payment only in the currency stated on the invoice. Bank charges and other transaction costs are not included in the invoice price and are payable by you.

If you wish to obtain an estimate of price or delivery for used cars or other items sold through the site, you can request the estimate via the site by means specified by SBT by entering the required information. Any estimate provided is for informational purposes only and may not reflect actual figures.

SBT exercises due care in posting information on the site; however, SBT makes no warranty of completeness, accuracy, validity, safety, or up-to-dateness thereof. SBT will not be liable for loss arising from decisions or actions taken by you reliant on information on the site.

SBT may terminate or suspend the operation of the service under the following circumstances:

• For regular or emergency system maintenance or work on the service, or under unavoidable conditions such as a system failure.

• Due to war, civil unrest, rioting, labor disputes, earthquakes, volcanic eruptions, floods, tsunamis, fire, blackout, system failure due to hacking or a computer virus, or other emergency conditions where the service cannot be operated as usual.

• Where restricted or ordered by a government agency, or where the services of other electronic communications companies have been terminated or suspended.

• Under any other circumstances where SBT deems temporary suspension necessary for the operation of the service.

SBT will inform you in advance when the operation of the service is to be terminated or suspended as per the above. Note, however, that this may not be possible in emergency situations. SBT is in no way liable for damages incurred by you or third parties resulting from the termination or suspension of the service.

SBT offers the site and content as is. To the maximum extent permitted by law, SBT excludes implied warranties, including of merchantability and fitness for a particular purpose, in connection with using, inability to use, or results of using the site and content and liability for consequential, indirect, or punitive damages or lost business, profit, or use.

Abuse includes, but is not limited to, creating multiple or fraudulent SBT-customer accounts; violating applicable law, these Terms, or SBT's written policies; and other fraudulent or bad faith acts. SBT may suspend or cancel abusive SBT-customer accounts without notice. You shall indemnify SBT for loss arising from your breach of these Terms, negligence, wrongdoing, or violation of contract or third-party rights or law.

SBT complies with the Japan Act on the Protection of Personal Information, Act on the Use of Social Security and Tax Number System, and other data-handling applicable laws and handles subject data according to SBT’s Privacy Policy accessible at www.sbtjapan.com/policy/privacypolicy.

SBT complies with the Japan Unfair Competition Prevention Act, the OECD Convention on Combating Bribery of Foreign Public Officials, and other applicable anti-corruption laws. Any contravening transaction is prohibited.

SBT never deals with organized crime and maintains internal compliance policies to prevent anti-social transactions, including screening business partners for anti-social affiliations and including terms excluding anti-social forces in procurement and sales contracts. Any contravening transaction is prohibited.

SBT complies with domestic and international global security and anti-terrorism laws and regulations, including list controls and catch-all controls prohibiting payments to sanctioned countries, sanctioned individuals, or embargoed goods, such as weapons and nuclear materials. Any contravening transaction is prohibited.

If more than four years have passed since your last transaction, SBT may confiscate any leftover funds in your SBT-customer account, but if you request in writing, SBT will restore confiscated funds.
